Statutes of the Fan Club Porto Santo

§ 1 Name and Registered Office

  1. The fan club bears the name “Fan Club Porto Santo.”
  2. Its registered office is in Porto Santo (Portugal).
  3. The fan club is not a registered association and pursues exclusively private, non-commercial purposes.

 

§ 2 Purpose of the Fan Club

  1. The fan club serves to promote community and friendship among fans of the ice hockey club Eisbären Berlin in Porto Santo and beyond.
  2. It organizes joint activities, meetings, events, and actions related to fan life.
  3. The fan club is politically and religiously neutral.
  4. The fan club does not pursue any economic interests; all activities are carried out on a voluntary basis.
  5. Surplus funds generated from membership contributions and donations that are not used for the club will automatically be forwarded to the Drachenbaumfarm project, where dragon trees are planted on Porto Santo.

 

§ 3 Membership

  1. Any natural person who supports the objectives of the fan club may become a member.
  2. Membership is independent of place of residence, origin, or nationality.
  3. Admission takes place through an informal application to the board.
  4. Membership ends through resignation, expulsion, or death.
  5. Resignation can be declared at any time, verbally or in writing, to the board.
  6. A member may be expelled if they significantly harm the reputation or objectives of the fan club.

 

§ 4 Contributions and Financing

  1. Membership is generally free of charge unless the general assembly decides otherwise.
  2. The fan club is financed through voluntary contributions, donations, or proceeds from events.
  3. The board decides on the use of funds in accordance with the objectives of the fan club.

 

§ 5 Bodies of the Fan Club

The bodies of the fan club are:

  1. the board
  2. the general assembly

 

§ 6 The Board

  1. The board consists of at least:
    • the chairperson
    • the deputy chairperson + treasurer
  3. Only members with a permanent residence on Porto Santo may be elected to the board.
  4. The board is elected by the general assembly for a term of two years. Re-election is possible.
  5. The board manages the ongoing affairs of the fan club and represents it externally.
  6. Decisions are made within the board by a simple majority.

 

§ 7 General Assembly

  1. It is convened by the board with at least two weeks’ notice, including the agenda (verbally, by email, or message).
  2. An extraordinary general assembly may be convened if the board decides so or if at least one-third of the members request it.
  3. The general assembly decides on:
    • election and dismissal of the board
    • amendments to the statutes
    • fundamental matters of the fan club
  5. Resolutions are passed by a simple majority of the members present.

 

§ 8 Financial Management

  1. The treasurer is responsible for the proper management of financial resources.
  2. The accounts may be audited, by resolution of the general assembly, by two members who are not part of the board.
  3. Surpluses accumulated over a period of one year will be allocated to the Drachenbaumfarm donation project.

 

§ 9 Dissolution of the Fan Club

  1. The dissolution of the fan club can only be decided by a general assembly.
  2. In the event of dissolution, the remaining assets shall be transferred to the Drachenbaumfarm project. If this no longer exists, the assets shall be allocated to a charitable purpose on Porto Santo, as decided by the general assembly.

 

§ 10 Final Provisions

These statutes were adopted at the general assembly on November 5, 2025, and enter into force on that date.
